In accordance with the Company’s Constitution Mark O'Connor and Robin Oakley retire as Directors by rotation at the 2023 Annual Meeting and, being eligible, are seeking re-election.

Election of Trustees 2023

In accordance with the Trust Deed, Trudi Webb (MGL Appointed Trustee) and John Clarke (Shareholder Appointed Trustee) retire as Trustees by rotation at the 2023 Annual Trust Meeting. Both are offering themselves for re-election.

Director Elections

Director Elections (for Directors to be by appointed by the Shareholders) are completed each year in accordance with the Company’s Constitution.

Each year, a certain number of Directors appointed by the Shareholders are subject to rotation and re-election at the annual meeting of shareholders (AGM) (clauses 23.29 – 23.31). Nominations are sought each year for these seats on the Board of Directors, with the closing date and time for nominations being 5 pm on the 30th of June before the annual meeting. Notice of the closing date is generally sent out to Shareholders annually at the beginning of June.

Prospective nominees who are interested in standing for election should refer to the Company’s Constitution for further information (clause 23).

Benefits of Being a Shareholder

A grower who becomes a shareholder in MG is entitled to:

Participate in any dividends and/or rebates on shares declared by the Board. Dividends and rebates are declared out of, and are dependent upon, the Company’s profits.

Receive additional shares issued by capitalising any dividends or rebates payable on any class of shares. Whether dividends or rebates are capitalised (converted into further shares) is at the Board’s discretion.

Have a say in the direction and operations of the Company by attending Shareholder meetings.

Accumulate a useful “retirement fund” through an increased shareholding.

Appointment of Corporate Representative Form to attend AGM

Shareholders who are bodies corporate / companies who wish to attend and be represented at the annual meeting of shareholders (AGM) must complete an Appointment of Corporate Representative form in the form attached (please download below).
